Welcome to AgentSkill! These Terms of Service (“Terms”) govern your access to and use of the AgentSkill desktop application (“Application”), including any associated services, features, content, and functionality provided through the Application (collectively, the “Service”). By downloading, installing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, please do not download, install, or use the Application.

The Service is provided by Xuanxing Technology Co., Ltd. doing business as AgentSkill.ai (“Company”, “we”, “us”, or “our”). Please read these Terms carefully, as they contain important information about your legal rights, remedies, and obligations.

1. Account Registration and Eligibility

  • In order to use certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • You are responsible for safeguarding your account credentials and for any activities or actions that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.
  • To use the Service, you must be at least 13 years of age (or the minimum legal age in your jurisdiction). By using the Service, you represent and warrant that you meet the eligibility requirements.

2. Service Description and Credits System

AgentSkill is a desktop software product that provides users with AI agents designed to automate various tasks. The Service operates on a credit-based system, and certain features and functionalities may require the use of credits.

  • Credits may be purchased through the Application or our website. The pricing, availability, and terms of the credits are subject to change at our discretion.
  • Credits are non-refundable and non-transferable, unless otherwise required by applicable law.
  • We reserve the right to modify, suspend, or discontinue any aspect of the Service, including the credit system, at any time without prior notice or liability.
  • In the event of a technical error affecting your credits, please contact our support team for assistance.

3. User Responsibilities and Prohibited Activities

When using our Service, you agree not to:

  • Use the Service to violate any applicable law, regulation, or contractual obligation.
  • Use the Service to infringe upon or violate the intellectual property rights or any other rights of others.
  • Use the Service to transmit any material that is defamatory, offensive, harassing, or otherwise objectionable.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.
  • Use the Service to collect, harvest, or gather user content or information without proper authorization.
  • Impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Service to upload, transmit, or distribute any viruses, malware, or other malicious code.
  • Use the Service to generate content that violates third-party rights or applicable laws.
  • Attempt to decompile, reverse engineer, disassemble, or hack the Application, or to defeat or overcome any encryption technology or security measures implemented by us.
  • Use automated scripts, bots, or other means to access or interact with the Service, except through our officially published APIs.

4. User Content and Data

  • You retain ownership of any content or data that you submit, upload, or create through the Service (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, transmit, and display such User Content for the purpose of providing and improving the Service.
  • You represent and warrant that: (i) you own or have the necessary rights to all User Content you submit; (ii) the User Content does not infringe upon the rights of any third party; and (iii) the User Content does not violate any applicable law or regulation.
  • We may collect and use anonymized, aggregated data derived from your use of the Service to improve our products and services. This data will not personally identify you.

5. Intellectual Property Rights

  • The Application, including its content, features, and functionality, is owned by us or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • These Terms do not grant you any right, title, or interest in the Service, content, or our trademarks, logos, or other brand elements.
  • We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Application for its intended purposes and in accordance with these Terms.
  • The output generated by the Service may be used by you for personal or business purposes in accordance with these Terms, but does not transfer to you any ownership rights in the underlying technologies, models, or algorithms.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, BE FREE OF ERRORS, DEFECTS, OR HARMFUL COMPONENTS, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.

YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUT OR ACTIONS GENERATED BY THE SERVICE BEFORE RELYING ON THEM.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (iii) ANY CONTENT OBTAINED FROM THE SERVICE; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE PAST SIX MONTHS, OR $100, WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, licensors, and service providers, and our and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms.

9. Termination

  • We reserve the right to suspend or terminate your access to the Service, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.
  • Upon termination, your right to use the Service will immediately cease. If your account is terminated, we may delete any content or data associated with your account.
  • All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Modifications to the Service and Terms

  • We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  • We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised Terms.

11. Third-Party Links and Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall first be resolved through good faith negotiations. If such dispute cannot be resolved through negotiation, it shall be submitted to mediation in accordance with the procedures of a recognized mediation service agreed upon by the parties.

13. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
  • Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, without consent.
  • Force Majeure: We shall not be liable for any failure to perform our obligations under these Terms where such failure is a result of acts of nature, fire, flood, earthquake, other natural disasters, terrorism, strike, embargo, riot, war, insurrection, pandemic, epidemic, or the acts of governmental authorities.
  • Notices: Any notices or other communications permitted or required under these Terms will be in writing and given by us by posting to the Service or via email to the address associated with your account.
